WHEREAS, Gruber Power Services (GPS) is in the business of pick up and transport of various types of lead bearing materials for recycling, including multiple types of spent lead acid batteries and other battery products.

WHEREAS, Gruber Power Services (GPS) provides transport of those lead bearing materials to the proper disposal and recycling facilities.

NOW, THEREFORE, Gruber Power Services (GPS), through its affiliated companies or
independent distributors, does hereby acknowledge receipt of lead bearing materials from customers and represents that said lead bearing materials will be properly transported and recycled in accordance with applicable law.

Gruber Power Services (GPS) agrees to defend, indemnify, and hold harmless said customers, its parent, subsidiaries, and affiliated companies (if applicable) and as to each of those parties, their respective shareholders, officers, directors, principals, agents and employees against any and all losses, liabilities, damages, injuries,
claims, demands, causes of action, costs and expenses arising out of Gruber Power Services's (GPS) transportation of waste batteries obtained from customer sites.

Gruber Power Services (GPS) obligations to defend, indemnify, and hold harmless the above indemnities is specifically limited to batteries provided to Gruber Power Services (GPS) or its affiliates.
